Mr. Chai has advised both PRC clients in their international transactions and overseas clients in their PRC-related activities.? His focusing areas of practice includes engineering and construction, supply of capital equipment and complete plant, international sales of goods, distribution and outsourcing, bidding and tendering, minerals and natural resources, project finance, mergers and acquisitions, foreign direct investment, overseas investment and international enterprise, technology transfer, intellectual property, and complex dispute resolutions.
Before joining Tian Yuan, he had been chief counsel for a major state-owned engineering corporation, one among the top 225 international contractors, advising on major industrial and infrastructure projects such as industrial plants, mines, highways, water supply and treatment, as well as complete plant exports.
He has also been appointed to some significant legal positions by Chinese government.? Specifically, he had been a member of a working group under the former Ministry of Foreign Economic Relations and Trade, responsible for claims of Chinese citizens and companies for their damages, losses, and injuries suffered from the first Gulf War; and had acted as legal adviser on complex license and joint venture agreements for a major national project under the Ninth Five-Year National Development Program, aiming at upgrading China¡¯s steel industry using imported advanced technology.
His recent experience has included:
- advising a large Chinese bank on a major international purchase agreement;
- advising China Minmetals Group on its over US$200m supply contract with Gerdau Acominas S. A. in connection with a major steel project in Brazil, and on related SBLC facility agreement and export credit arrangement;
- advising China Minerals Co. Ltd. on a large-scale capital goods export agreement with Cosipar, Brazil;
- advising a major international trade company on a harbor project;
- advising Founders Group on a joint venture agreement with an Israel company;
- advising a famous IT corporation on a stock purchase agreement with a U.S. company;
- advising a US software giant on a government purchase agreement with PRC government;
- advising an Oklahoman corporation on an OEM agreement with a Chinese company and on IPR protections in China;
- advising a famous IT corporation on OEM, licensing, and distribution arrangement with a multinational;
- advising a municipal government on arrangement of IP protections with a multinational;
- advising a famous IT corporation on foreign government export-control regulations against China and their extraterritorial effect.
